1. About PartywitMe

PartywitMe (“PartywitMe,” “we,” “our,” or “us”) is an online platform and mobile application that lets users create, promote, and manage events, issue invitations, and sell or distribute tickets (collectively, the “Service”).

The Service is a technology platform. We are not the organizer, promoter, venue operator, or seller of tickets for events listed on the Service unless we explicitly state otherwise in writing for a specific event.

These Terms of Service (“Terms”) govern your access to and use of the Service, including our website, mobile applications, and related services.


2. Acceptance of These Terms

By creating an account, accessing the Service, creating or managing an event, purchasing a ticket, accepting an invitation, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference).

If you do not agree to these Terms, you may not use the Service.

If you use the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.

For paid ticket purchases, you may be required to affirmatively accept these Terms at checkout before completing your purchase.


3. Definitions

For purposes of these Terms:

  • “Buyer” or “Attendee” means a user who purchases a ticket or accepts an invitation to attend an event.
  • “Event” means any gathering, activity, or occasion created or listed through the Service.
  • “Event Content” means any information, text, images, video, audio, branding, or other materials you submit in connection with an Event, including event descriptions, photos, and promotional materials.
  • “Guest” means a person invited to an Event who has not necessarily purchased a ticket.
  • “Invitation” means a request sent through the Service for a person to attend an Event, with or without a ticket.
  • “Organizer” means a user who creates, hosts, promotes, or manages an Event through the Service.
  • “Platform Fee” means any fee charged by PartywitMe for use of the Service in connection with ticket sales or invitations, excluding third-party payment processing fees.
  • “Processing Fee” means fees charged by our payment processor (currently Stripe) in connection with paid transactions.
  • “Service” has the meaning set forth in Section 1.
  • “Ticket” means a paid or complimentary pass, registration, or credential issued through the Service granting access to an Event.
  • “User” means any person or entity that accesses or uses the Service, including Organizers, Buyers, and Guests.

4. Eligibility & Accounts

4.1 Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to:

  • host free or paid Events;
  • purchase Tickets; or
  • accept Invitations that require account registration or payment.

Minors may attend Events only with the consent and supervision of a parent or legal guardian. Organizers are responsible for enforcing age restrictions and compliance with laws applicable to their Events.

4.2 Account Registration

To use certain features, you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date.

You may not:

  • create an account using false or misleading information;
  • impersonate any person or entity;
  • create multiple accounts to evade enforcement, fees, or restrictions; or
  • share your account with others except as permitted by the Service.

4.3 Account Security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@saltechapps.com if you suspect unauthorized access.

We are not liable for losses arising from unauthorized use of your account where you failed to maintain reasonable security of your credentials.

4.4 Verification & Compliance

We may require identity verification, business information, or additional documentation before you can host paid Events or receive payouts. We may suspend or restrict accounts pending verification or compliance review.


5. Event Creation & Content

5.1 Creating Events

Organizers may create public or private Events, free or paid.

When you create an Event, you provide details, settings, and images or other media (“Event Content”). You confirm that:

  • you have the necessary rights to use and upload Event Content;
  • Event Content does not infringe any third party’s intellectual property, privacy, or other rights;
  • your Event listing is accurate and not misleading; and
  • your Event complies with all applicable laws, regulations, permits, and venue requirements.

5.2 License to PartywitMe

You retain ownership of your Event Content. By submitting Event Content, you grant PartywitMe a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, adapt, distribute, and promote Event Content solely in connection with operating, marketing, and improving the Service.

This license continues for a reasonable period after Event Content is removed, solely to the extent necessary for backups, legal compliance, dispute resolution, and archival purposes.

5.3 Organizer Responsibilities

Organizers are solely responsible for:

  • the accuracy of Event details, including date, time, location, pricing, capacity, and accessibility information;
  • compliance with local, state, national, and international laws;
  • obtaining required permits, licenses, and insurance;
  • providing a safe environment and delivering the Event as described;
  • setting and honoring refund, cancellation, and attendee communication policies where applicable;
  • handling attendee inquiries, complaints, and disputes related to the Event; and
  • lawful use of attendee and guest personal data obtained through the Service.

PartywitMe does not guarantee Event attendance, success, or revenue.

5.4 Content Moderation

We may, but are not obligated to, review Event Content or user activity. We reserve the right to remove, restrict, or reject any Event or Event Content, or suspend any account, at any time if we believe it violates these Terms, applicable law, or creates risk to users or PartywitMe.

We may remove content in response to complaints, legal requests, or our own policies without prior notice where reasonably necessary.

5.5 Prohibited Events

You may not use the Service to promote, organize, or sell access to Events that:

  • are unlawful or promote illegal activity;
  • involve hate, harassment, violence, or discrimination prohibited by law;
  • involve unlicensed gambling or unlawful contests;
  • involve sale or distribution of illegal drugs, weapons, or regulated goods without proper authorization;
  • are fraudulent, deceptive, or intended to impersonate another person, brand, or Event; or
  • otherwise violate these Terms or our community standards.

6. Fees & Payments

6.1 Current Pricing

PartywitMe does not currently charge a Platform Fee for ticket sales or guest Invitations at this time.

Because no Platform Fee is currently charged, our aggregate liability cap described in Section 13 will generally be limited to the minimum stated amount unless and until Platform Fees are introduced.

6.2 Payment Processing

All paid transactions are handled by Stripe, our third-party payment processor. Stripe currently charges a Processing Fee of US $0.50 per ticket, or as otherwise displayed at checkout. Processing Fees are deducted automatically and may change in accordance with Stripe’s pricing and your transaction type.

You acknowledge that Stripe’s standard pricing may also include percentage-based fees depending on payment method, currency, and region. All applicable Processing Fees will be shown or disclosed at checkout.

By making or receiving payments through the Service, you also agree to Stripe’s applicable terms and privacy policies.

6.3 Future Platform Fee

PartywitMe reserves the right to introduce a Platform Fee of up to 30% of ticket face value. You will receive at least 30 days’ notice before any such change takes effect. Continued use of the Service after the notice period constitutes acceptance of the new fee, unless otherwise required by applicable law.

If you do not agree to a new Platform Fee, you must stop using paid Event features before the effective date.

6.4 Pricing, Taxes, and Checkout

All prices, Platform Fees, Processing Fees, and applicable taxes will be shown or added at checkout before you complete a purchase.

Unless PartywitMe explicitly states otherwise in writing for a specific Event or jurisdiction, Organizers are responsible for determining, collecting, reporting, and remitting any applicable taxes on ticket revenue, including sales tax, VAT, or similar transaction taxes.

If tax collection tools are made available through the Service, Organizers are responsible for configuring them correctly and ensuring compliance with applicable tax laws.

6.5 Merchant of Record & Payouts

Unless we expressly state otherwise:

  • a Ticket purchase forms a contract between the Buyer and the Organizer, not PartywitMe;
  • the Organizer is the seller of the Ticket;
  • PartywitMe facilitates payment collection and payout through Stripe; and
  • payout timing, reserves, holds, and account verification requirements are subject to Stripe’s rules and our payout policies as displayed in the Service.

We may delay, withhold, or reverse payouts where necessary to address refunds, chargebacks, fraud, legal compliance, Event cancellations, or violations of these Terms.

6.6 Chargebacks & Payment Disputes

Buyers may initiate payment disputes or chargebacks through their payment provider. Organizers are responsible for responding to disputes related to their Events and for any resulting fees, reversals, or penalties, to the extent permitted by law and Stripe’s policies.

We may debit, offset, or recover amounts from Organizer payouts to address chargebacks, refunds, or other payment reversals.


7. Ticket Sales & Invitations

7.1 Contract Between Buyer and Organizer

A Ticket purchase forms a contract between the Buyer and the Organizer, not PartywitMe. PartywitMe is not a party to that contract and does not control Organizer policies except as stated in these Terms.

7.2 Invitations

Buyers and Guests may accept or decline Invitations through the Service, subject to the settings chosen by the Organizer.

An Invitation does not guarantee entry unless expressly stated by the Organizer and supported by the Service’s admission features.

7.3 Ticket Use & Transfer

Unless the Organizer enables otherwise, Tickets are personal, revocable, and valid only for the specified Event. Organizers may restrict transfer, resale, duplication, or modification of Tickets.

You may not sell, transfer, or reproduce Tickets in a manner that violates these Terms, the Organizer’s stated policies, or applicable law.

7.4 Entry & Validation

Admission to an Event is controlled by the Organizer. PartywitMe is not responsible for denied entry due to capacity limits, lost credentials, invalid Tickets, security decisions, or Event changes made by the Organizer.

7.5 Private Events

For private Events, Organizers are responsible for controlling access and for ensuring that guest information is used only for legitimate Event-related purposes and in compliance with applicable privacy laws.

Organizers must not use guest lists, attendee data, or Invitation responses for unsolicited marketing without appropriate consent.

7.6 No Event Guarantee

PartywitMe is not liable for Event cancellations, postponements, changes, quality, safety, or any losses arising from attendance (see Section 13).


8. Refunds & Cancellations

8.1 Platform Refund Policy

At this time, PartywitMe does not process refunds for ticket purchases on behalf of Buyers. All ticket sales are considered final unless:

  • the Organizer offers a refund or cancellation policy and chooses to honor it;
  • a refund is required by applicable law; or
  • we determine a refund is necessary to address fraud, unauthorized transactions, or a material platform error.

8.2 Organizer Policies

Organizers are encouraged to clearly state any refund, cancellation, or postponement policy in their Event description. If an Organizer publishes a policy, they are responsible for honoring it to the extent required by law.

If an Organizer cancels or materially changes an Event, the Organizer is responsible for communicating with Buyers and handling refunds or alternatives, unless otherwise required by law or expressly handled through Service tools.

8.3 Event Cancellation or Postponement

If an Event is cancelled, postponed, relocated, or materially changed, the Organizer must promptly notify affected Buyers and Guests and address refund or transfer options in accordance with the Organizer’s stated policy and applicable law.

PartywitMe may assist with notifications or tools but does not assume the Organizer’s refund obligations.

8.4 Chargebacks

A chargeback or payment dispute is not the same as an Organizer-approved refund. Initiating a chargeback may result in Ticket cancellation and account restrictions.

8.5 Force Majeure

Neither PartywitMe nor Organizers are responsible for failure or delay caused by events beyond reasonable control, including natural disasters, government actions, pandemics, utility failures, labor disputes, or venue closures, except as required by applicable law.


9. User Obligations & Prohibited Conduct

You agree to use the Service lawfully and in accordance with these Terms.

You agree not to:

  • post unlawful, infringing, defamatory, obscene, harassing, or misleading content;
  • impersonate any person or entity or misrepresent your affiliation with an Event, brand, or venue;
  • use the Service for fraud, spamming, phishing, or unsolicited marketing;
  • collect, scrape, harvest, or misuse user data without authorization;
  • interfere with the security, integrity, or proper functioning of the platform, including by introducing malware or attempting unauthorized access;
  • sell counterfeit, stolen, duplicated, or unauthorized Tickets;
  • circumvent fees, payment flows, or access controls, including by directing users off-platform to avoid Platform Fees or Processing Fees;
  • use bots, scripts, or automated means to access the Service except through approved APIs or integrations;
  • discriminate unlawfully against attendees or guests; or
  • violate any applicable law, regulation, or third-party rights.

We may investigate violations and cooperate with law enforcement where appropriate.


10. Intellectual Property

10.1 PartywitMe Property

All PartywitMe software, trademarks, logos, branding, designs, and other platform materials remain our property or that of our licensors. Except for Event Content you upload, you may not copy, reproduce, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

10.2 Your Content

You retain ownership of Event Content you upload, subject to the license granted in Section 5.2.

You represent and warrant that you have all rights necessary to grant that license and that your Event Content does not violate any third-party rights.

10.3 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation to you.

If you believe content on the Service infringes your copyright or trademark, contact us at support@saltechapps.com with sufficient detail to identify the material and your rights. We may remove or disable access to content in appropriate circumstances.


11. Privacy & Data

We collect and process personal data in accordance with our Privacy Policy.

Without limiting that policy:

  • Organizers may receive personal information about attendees and guests through the Service;
  • Organizers must use attendee and guest data only for legitimate Event-related purposes and in compliance with applicable privacy laws;
  • Organizers must not sell or share attendee data for unrelated marketing without appropriate consent; and
  • you are responsible for providing any required notices and obtaining any required consents for your use of attendee data.

If you receive marketing emails or SMS messages from PartywitMe, you may opt out using the method provided in those messages, subject to service-related communications we are permitted to send.


12. Third-Party Services

The Service may integrate with or link to third-party services, including Stripe, mapping providers, analytics tools, email/SMS providers, and app store platforms.

We do not control third-party services and are not responsible for their content, availability, or practices. Your use of third-party services is subject to their terms and policies.

If you access the Service through a mobile application distributed by Apple, Google, or another app store, you acknowledge that the app store provider is not a party to these Terms and is not responsible for support or maintenance of the Service except as required by that app store’s terms.


13. Disclaimers & Limitation of Liability

13.1 “As Is” Service

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components.

13.2 Events & Third-Party Conduct

PartywitMe does not organize, host, supervise, or control Events listed on the Service. We disclaim all liability for:

  • Events organized through the platform;
  • acts or omissions of Organizers, venues, vendors, or attendees;
  • Event quality, safety, legality, or cancellation; and
  • any indirect, incidental, special, consequential, or punitive damages.

PartywitMe and its affiliates are not liable for any impersonation, incidents, accidents, injuries, property damage, or conflicts that arise at any stage of planning, promoting, or attending Events, including public and private Events. The Organizer and their associates are solely responsible for Event conduct, safety, and compliance.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

13.3 Liability Cap

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service or these Terms shall not exceed the greater of:

  1. the total Platform Fees you paid to us in the 12 months preceding the claim; or
  2. US $100.

Because PartywitMe currently does not charge Platform Fees, this cap will generally be US $100 unless and until Platform Fees apply to you.

13.4 Basis of the Bargain

You acknowledge that the limitations in this Section are a fundamental basis of the bargain between you and PartywitMe.


14. Indemnity

You agree to indemnify, defend, and hold harmless PartywitMe, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. your use of the Service;
  2. your Event Content;
  3. your Events, including injury, property damage, or regulatory violations;
  4. your sale of Tickets or use of attendee/guest data; or
  5. your breach of these Terms or violation of applicable law.

We may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with our defense.


15. Termination

15.1 Termination by PartywitMe

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, applicable law, or create risk or harm to users, third parties, or PartywitMe.

15.2 Termination by You

You may close your account at any time through account settings or by contacting us at support@saltechapps.com.

15.3 Effect of Termination

Upon termination:

  • your right to access the Service ends immediately;
  • we may remove or disable Events, Event Content, and account data subject to our Privacy Policy and legal obligations;
  • outstanding payment, payout, refund, and chargeback obligations may survive; and
  • provisions that by their nature should survive will survive, including Sections 5.2, 8, 10, 11, 13, 14, 17, and 18.

Termination does not relieve you of obligations incurred before termination.


16. Changes to These Terms

We may modify these Terms from time to time.

If we make material changes, we will notify you by email, in-app notice, or other reasonable means at least 30 days before the changes take effect, unless a shorter period is required by law or necessary for security, legal, or operational reasons.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance, except where applicable law requires a different form of consent.

If you do not agree to updated Terms, you must stop using the Service before they take effect.

Changes will not retroactively alter your legal rights with respect to Ticket purchases completed before the effective date, except where required by law or necessary to address security, fraud, or legal compliance.


17. Governing Law & Disputes

17.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-law principles.

17.2 Informal Resolution

Before filing a claim, you agree to contact us at support@saltechapps.com and attempt in good faith to resolve the dispute informally within 30 days.

17.3 Jurisdiction & Venue

Except where prohibited by applicable law, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Pennsylvania, United States, and you consent to personal jurisdiction and venue in those courts.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

17.4 Consumer Rights

If you are a consumer in a jurisdiction that grants you mandatory rights, nothing in these Terms limits rights that cannot be waived under applicable law.


18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and PartywitMe regarding the Service.

18.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.

18.5 Force Majeure

We are not liable for delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, government actions, or third-party service outages.

18.6 Export & Sanctions Compliance

You may not use the Service in violation of applicable export control or sanctions laws.

18.7 Notices

We may provide notices to you by email, in-app message, or posting on the Service. You may provide legal notices to us at support@saltechapps.com.
